Terms of Service

1. Acceptance of Terms

By accessing or using ApprovalTick ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms apply to all visitors, users, and others who access or use the Platform.

2. Eligibility

You must be at least 18 years of age to use the Platform. By agreeing to these Terms, you represent and warrant that you are at least 18 years old and have the full power and authority to enter into this agreement. If you are using the Platform on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration & Security

To access certain features of the Platform, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to safeguard your account.

4. Subscriptions, Billing & Payments

4.1 Subscription Plans

We offer tiered subscription plans with different features and limits. The details and pricing of each plan are described on our Pricing page and are subject to change with notice to you.

4.2 Free Trials

We may offer free trial periods for our paid plans. Free trials are subject to the duration and terms specified at the time of sign-up. No payment method is required to start a free trial unless otherwise stated. At the end of the trial period, your subscription will not automatically convert to a paid plan – we will require you to explicitly select and purchase a paid plan to continue using the Platform's paid features.

4.3 Payment Processing

All payments are processed securely through a third-party payment processor. We do not store or have access to your full payment card details. By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring monthly basis. You agree to provide accurate and complete billing information.

4.4 Cancellation

You may cancel your subscription at any time through your account dashboard. Upon cancellation, your subscription will remain active until the end of your current billing period. No refunds or credits will be provided for partial billing periods. After cancellation, access to paid features will be revoked at the end of the billing cycle.

4.5 Changes to Pricing

We reserve the right to modify our pricing and plan structures at any time. We will provide you with at least 14 days' notice of any price changes affecting your current plan. Continued use of the Platform after a price change takes effect constitutes your acceptance of the new pricing.

5. Account Suspension & Termination

5.1 Our Rights

We reserve the right, at our sole discretion and without prior notice, to suspend, limit, or terminate your access to the Platform, or delete your account, if:

  • You violate these Terms or any applicable law or regulation;
  • You engage in fraudulent, abusive, or illegal activity;
  • Your payment method fails and remains unpaid after a grace period;
  • We determine, in our sole judgment, that your conduct may harm other users, third parties, or the Platform itself;
  • We are required to do so by law or regulatory authority.

5.2 Effect of Suspension or Termination

Upon suspension or termination, your right to access the Platform will immediately cease. We may retain your data for a reasonable period as required by law or our backup policies. We are not liable to you or any third party for any suspension or termination of your access.

6. Intellectual Property

6.1 Your Content

You retain all ownership and intellectual property rights to the content, files, and materials you upload to the Platform ("Your Content"). By uploading Your Content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, transmit, and display Your Content solely for the purpose of providing and improving the Platform's services to you.

6.2 Platform IP

The Platform, its design, features, logos, trademarks, and underlying technology are owned by ApprovalTick Inc. and are protected by applicable intellectual property laws. You may not copy, modify, reverse engineer, distribute, or create derivative works of the Platform without our express written consent.

7. Acceptable Use

You agree not to use the Platform to:

  • Upload or distribute any illegal, defamatory, or harmful content;
  • Impersonate any person or entity or misrepresent your affiliation;
  • Interfere with or disrupt the security, integrity, or performance of the Platform;
  • Attempt to gain unauthorized access to any part of the Platform, other accounts, or computer systems;
  • Scrape, crawl, or collect data from the Platform without our prior written permission;
  • Use the Platform in any manner that could overburden, damage, or impair our infrastructure;
  • Transmit any viruses, malware, or other harmful code.

8. Limitation of Liability

To the maximum extent permitted by applicable law, ApprovalTick Inc., its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or relating to your use of or inability to use the Platform.

Our total liability to you for any claim arising out of these Terms shall not exceed the amount you have paid us in the twelve (12) months preceding the event giving rise to the claim.

9. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

10. Indemnification

You agree to indemnify, defend, and hold harmless ApprovalTick Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Platform, your violation of these Terms, or your violation of any applicable law.

11. Changes to Terms

We reserve the right to modify or update these Terms at any time. We will notify you of material changes via email or through the Platform. Your continued use of the Platform after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Platform and cancel your subscription.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
